Shein Sets Hong Kong IPO Underwriting Fees at Up to $39 Million in Planned $1.77 Billion Listing
Fast-fashion giant Shein will pay up to HK$306 million ($39 million USD) in total underwriting fees to an expanded syndicate of investment banks managing its upcoming initial public offering (IPO) in Hong Kong, according to the company’s prospectus released on Monday.
The fixed underwriting fee equates to approximately 2.2% of the new gross capital Shein aims to raise. This fee structure is noticeably tighter than other recent major Hong Kong listings; for instance, autonomous driving developer Momenta Global paid an estimated 3.4% in total underwriting commissions during its $752 million offering in July.
The cost-efficient fee framework comes as Shein seeks to raise up to $1.77 billion in Hong Kong, an offering that pegs the company’s target equity valuation at approximately $27 billion.
Shein noted that participating underwriters will also be eligible for discretionary incentive bonuses, though specific payout metrics were not disclosed. The expanded banking syndicate is led by Goldman Sachs, Morgan Stanley, and JPMorgan Chase—the three cornerstone Wall Street institutions that previously advised Shein on its earlier listing attempts in New York and London.
