A New Cyber Shield to Protect Enterprise Data and Face Future Threats

In a landmark move redefining the global cybersecurity landscape, U.S.-based Proofpoint has announced a definitive agreement to acquire Varonis, a specialist in data security and AI, in an all-cash deal valued at $6.3 billion. This strategic merger aims to integrate protection across communications, digital identities, and sensitive data into a single platform capable of curbing the rising security threats that accompany the massive expansion of artificial intelligence applications.

Substantial Financial Gains and a Premium Exceeding 52% for Shareholders

Under the agreement finalized on October 15, 2026, Varonis shareholders will receive $49.75 per share in cash, representing a 52% premium over the stock's closing price prior to acquisition rumors in June, and a 17% increase over its September closing price. The deal received unanimous approval from Varonis’s Board of Directors following a thorough evaluation of strategic investment alternatives, with completion anticipated during the first half of 2027.

Unifying Capabilities to Address AI Risks and Manage Access Controls

Following the close of the transaction, Proofpoint plans to consolidate the expertise of both companies, offering more than 16,000 enterprise customers and millions of smaller businesses worldwide advanced capabilities to identify sensitive data, protect critical assets, and strictly manage access permissions for both employees and AI agents. Sumit Dhawan, CEO of Proofpoint, emphasized that the scale of AI risk is directly tied to the volume of data it can access, making stringent permission controls an absolute necessity.

Strategic Financing and Varonis’s Transition to a Private Entity

Private equity firm Thoma Bravo, the parent owner of Proofpoint, is arranging the required equity and debt financing for the transaction, supported by an additional investment from the Ontario Teachers' Pension Plan. Upon obtaining all necessary regulatory approvals and closing the deal, Varonis will transition into a private entity and its shares will be delisted from the NASDAQ. Until the acquisition is finalized, both companies will continue operating independently
