MNT-Halan Moves Closer to EGX Listing with Planned 20% Share Offering

MNT-Halan is taking further steps toward becoming a publicly listed company in Egypt, announcing plans to offer 20% of its total shares on the Egyptian Exchange (EGX) in October 2026.

The proposed offering covers 320 million shares out of the company’s 1.6 billion shares, with the option to increase the size of the transaction to as much as 25%, or 400 million shares.

The transaction is expected to combine a private placement targeting qualified investors in several markets, including Egypt, with a public offering aimed at retail and institutional investors in the local market. Completion remains subject to obtaining the necessary regulatory approvals from the Financial Regulatory Authority and the Egyptian Exchange.

The final share price will be determined through a book-building process once the structure of the offering and the required approvals have been finalized.

MNT Investments BV, MNT-Halan’s principal shareholder, will act as the selling shareholder. It plans to offer 320 million shares under the base structure, with the possibility of increasing the number to 400 million shares.

As part of the transaction, MNT-Halan also expects to strengthen its capital through the issuance of new shares. The number of newly issued shares will not exceed 170 million and will be offered at the final offering price, subject to regulatory approval.

Ahead of the start of trading, the selling shareholder plans to allocate 24.33 million shares to selected employees of the group under the terms set out in the offering document.

The planned listing follows preliminary approval granted by the EGX Securities Listing Committee on September 14, 2026. The approval covers the listing of MNT-Halan with issued capital of EGP 160 million, represented by 1.6 billion shares with a nominal value of EGP 0.10 each.

The company said the listing is part of its broader growth strategy and will help support expansion, improve corporate governance and disclosure practices, and provide access to Egypt’s capital markets.

Founded in 2018 and built on operations dating back to 2009, MNT-Halan operates across several areas of financial services, including lending, payments, investment and e-commerce through its Halan platform, in addition to its nationwide physical distribution network.

The company reported approximately 1.9 million active customers as of June 30, 2026. Its distribution network included more than 1,200 locations across 25 Egyptian governorates, while its financing portfolio reached EGP 46.7 billion.

Since its establishment, MNT-Halan said it has provided nearly EGP 178 billion in total financing. Payments processed through its platform exceeded EGP 207 billion by the end of June 2026.

For 2025, the company reported adjusted revenue of around EGP 20.5 billion, alongside adjusted profit of approximately EGP 12.2 billion and net income of EGP 1.98 billion.

The planned offering is expected to mark a significant stage in MNT-Halan’s transition to a listed company, while the group continues to expand its digital financial services and invest in financial technology.
