CBE Rules for Credit Guarantee Companies and New Branches

The Central Bank of Egypt (CBE) has required credit guarantee companies to obtain its approval before amending their articles of incorporation or bylaws, changing previously submitted licensing information or documents, or establishing new branches, under new rules governing the licensing, supervision and oversight of such companies.

CBE Approval for Corporate Amendments

Under the rules, companies must submit approval requests to the CBE using the designated form, accompanied by supporting documents for the proposed amendments, whether during the licensing process or after a license has been obtained.

Companies may not submit amendments to their general assemblies or announce them before receiving CBE approval. No amendment may take effect until it has also been approved by the company’s general assembly in accordance with the applicable rules.

The amendment request is then reviewed by the CBE, which must notify the company of its decision within 15 days of the decision date through a method approved by the central bank.

Rules for Establishing New Branches

Credit guarantee companies must also obtain CBE approval before beginning the establishment of any new branch. Applications will be assessed based on the company’s strategy, financial and operational position, and compliance with applicable regulatory requirements.

The company’s overall strategy must demonstrate the need for the proposed branch, taking into account the number and geographical distribution of existing branches and the needs of areas targeted for the company’s services and activities.

Applicants must also submit an economic and financial feasibility study for their branch expansion plans, including the expected impact on the company’s activities.

Technology and Regulatory Compliance

The CBE will consider the company’s compliance with applicable rules and instructions, observations included in CBE inspection reports, comments contained in the external auditor’s report, and the availability of resources required to manage and operate the new branches.

The assessment will also cover the company’s information and technology infrastructure and information-security capabilities, including their ability to accommodate and efficiently operate new branches while maintaining operational, supervisory and information-security requirements.

Branch applications will be submitted to the CBE Governor for a decision, and the company will be notified within 15 days of the decision date.

If preliminary approval is granted, the company must begin the branch establishment procedures within six months of the approval date. Otherwise, the approval will be considered void. The CBE Governor, or an authorized delegate, may extend the deadline for additional periods when sufficient justification exists.
