TAQA to Delist from Abu Dhabi Securities Exchange Following 100% Acquisition by ADPower

Abu Dhabi National Energy Company (TAQA) has officially resolved to delist the company and all its shares from the Abu Dhabi Securities Exchange (ADX) following the completion of a mandatory acquisition of all remaining shares. Consequently, Abu Dhabi Power Corporation (ADPower) is now the sole shareholder, holding 100% of TAQA's issued share capital.

In a formal disclosure to the ADX on Wednesday, TAQA stated that its Board of Directors passed the delisting resolution during a meeting on August 25. This move leverages the authority granted by a special resolution approved by the company’s General Assembly on July 21, 2026.

TAQA clarified that the execution of the mandatory acquisition—often referred to as a squeeze-out—of the remaining minority shares was confirmed by the Abu Dhabi Depository on August 13, 2026. The subsequent delisting is the final administrative step in this transition, as the company no longer maintains the diversified shareholder structure required for public market trading.

Key Strategic Drivers & Corporate Implications

Complete Consolidation: The 100% ownership solidifies ADPower's absolute control over TAQA’s assets, centralizing Abu Dhabi's critical utility and energy infrastructure under a single, unified corporate umbrella.

Regulatory Mechanism: Having executed a mandatory acquisition of the remaining free float, TAQA naturally ceases to meet the shareholder diversification and free-float requirements mandated for publicly listed companies on the ADX.

Operational Agility: Transitioning back to a wholly-owned private entity eliminates public market reporting burdens and allows for streamlined, rapid strategic decision-making aligned directly with Abu Dhabi's broader energy transition goals.
